The listing
We are looking for a Legal Counsel to support a broad range of legal matters, with a primary focus on commercial contracts with clients and vendors.
The role also covers intellectual property, corporate matters, compliance, privacy and other day-to-day legal issues across an international technology business.
Responsibilities
- Draft, review and negotiate wide range of contracts, including MSAs, SOWs, NDAs, DPAs, software, SaaS, licensing and vendor agreements.
- Independently manage contract negotiations with clients, vendors and external counsel.
- Identify legal and commercial risks and provide practical solutions and fallback positions.
- Advise internal teams on legal matters arising in different jurisdictions, with a focus on the US and Europe.
- Support IP-related matters, including software ownership, licensing, copyright and trademarks.
- Support corporate, compliance, privacy and other legal matters as needed.
- Conduct legal research and prepare clear, concise legal advice.
Requirements
- Master’s degree in Law.
- 3+ years of relevant legal experience, preferably in an IT or technology company.
- Strong experience drafting and negotiating commercial and technology contracts governed by US law and/or English law.
- Good understanding of key technology-contract issues, including liability, indemnities, IP, data protection, information security and licensing.
- Advanced English and Ukrainian.
- Practical experience using generative AI tools in legal work.
Nice to Have
- Understanding of the US tax system.
- Experience in the IT services, software development or outsourcing industry.
- Experience with privacy, cybersecurity or AI-related legal matters.
- Experience with information security and privacy frameworks or assurance standards, including ISO 27001, ISO 27701, SOC 2 or NIST frameworks.
- Experience implementing or building legal-tech or automation tools, including AI-assisted development or vibe coding.
